Terms & Conditions and Acceptable Use Agreement

Effective Date: September 1, 2026

These Terms govern access to and use of BaySpacetel.com and Spacetel LLC’s internal business Platform.

1. Authorized Users Only

BaySpacetel.com is a private Company business system. It is not a public website, public financial service, banking service, or consumer financial platform. Access is restricted to employees, contractors, managers, administrators, accountants, and other individuals expressly authorized by Spacetel LLC. Unauthorized access or attempted unauthorized access is prohibited.

2. Acceptance

By accessing or using the Platform, you acknowledge these Terms and agree to comply with them, applicable Spacetel policies, and applicable laws. Spacetel may modify, restrict, suspend, or terminate a user's access as reasonably necessary, subject to applicable law.

3. Authorized Use

The Platform may be used only for authorized Spacetel business activities, including financial reconciliation, accounting, bookkeeping, cash and deposit tracking, expense reporting, financial reporting, auditing, management review, and related Company operations. Users may not use the Platform for unauthorized personal, commercial, fraudulent, competitive, or unlawful purposes.

4. Account Security

Users are responsible for protecting their assigned account credentials. Users must not share usernames or passwords, permit another person to use their account, use another person's credentials, attempt to access information outside their authorization, circumvent security or permission controls, or attempt to obtain unauthorized administrative access. Suspected account compromise or unauthorized access must be reported promptly.

5. Financial Record Accuracy

Users must make reasonable efforts to ensure financial information entered into the Platform is complete and accurate. Users must not intentionally enter false or misleading financial information; falsify deposits or expenses; create fictitious transactions; conceal shortages or discrepancies; alter records to avoid accountability; manipulate reports; improperly change another user's records; or delete or destroy records to conceal activity. Corrections should be made through authorized Company procedures whenever available so appropriate audit records can be maintained.

6. Confidential Information

Information contained within the Platform may constitute confidential and proprietary Spacetel information. Users may access and use such information only as necessary to perform their authorized responsibilities. Unless authorized, users may not disclose, distribute, publish, transmit, copy, download, photograph, screenshot, or otherwise provide confidential Platform information to unauthorized persons. Confidential information may include Company financial records, banking and deposit information, employee information, sales information, store performance, transaction information, accounting records, internal reports, passwords, and Company business strategies.

7. Uploads

Users may upload only files reasonably necessary for authorized Company business. Users must not knowingly upload malicious software, executable malware, unlawfully obtained information, unrelated personal material, or information they are not authorized to possess or disclose. Spacetel may process, scan, restrict, quarantine, reject, or remove uploaded material when reasonably necessary for security, legal, or business purposes.

8. Monitoring and Auditing

Use of the Platform may be monitored and audited in accordance with applicable law. Spacetel may maintain records relating to account logins, financial entries, edits, approvals, uploads, downloads, imports, exports, IP addresses, security events, and other Platform activity. Such records may be reviewed for reconciliation, accounting, internal controls, security, auditing, investigations, compliance, litigation, and other legitimate business purposes.

9. Company Records

Records created, uploaded, or maintained through the Platform in connection with work performed for Spacetel are Company business records, subject to applicable law and contractual rights. Termination of employment, engagement, or Platform access does not authorize a user to delete, remove, retain, copy, disclose, or destroy Company records.

10. Prohibited Conduct

Users may not engage in unauthorized access; password sharing; intentional alteration or destruction of audit records; unauthorized bulk downloading; unauthorized disclosure of Company information; introduction of malicious software; interference with Platform operations; circumvention of access controls; use of Company information for unauthorized personal financial benefit; or any unlawful activity involving the Platform.

11. Suspension or Termination of Access

Spacetel may suspend, restrict, or terminate access when reasonably necessary because of employment or role changes, security concerns, suspected misuse, investigation, operational requirements, or violation of these Terms or Company policy. Relevant records and activity logs may be preserved following suspension or termination where permitted or required by law.

12. Ownership and Intellectual Property

The Platform and its Company-owned workflows, documentation, reports, business processes, software, databases, designs, and materials are owned by Spacetel LLC or applicable licensors unless otherwise indicated. Access to the Platform does not grant a user ownership of the Platform or Company information.

13. Platform Availability

Spacetel does not guarantee uninterrupted or error-free Platform availability. Access may be interrupted because of maintenance, updates, internet or cloud-service disruptions, security incidents, technical failures, or other circumstances.

14. Violations

Violation of these Terms, applicable Company policies, or applicable law may result in restriction or termination of Platform access and may result in disciplinary action consistent with applicable Company policy and law. Where appropriate, suspected unlawful activity may be referred to law enforcement or other appropriate authorities.

15. Governing Law

These Terms are governed by applicable federal law and, to the extent applicable, the laws of the State of California, without limiting any rights or obligations that cannot lawfully be waived.

16. Changes to These Terms

Spacetel may modify these Terms to reflect changes in the Platform, Company operations, security practices, policies, or applicable law. Users may be required to acknowledge materially updated Terms before continuing to use the Platform.
